These Terms & Conditions (“Terms”) govern your access to and use of the website located at grbfle.com and any related pages, newsletters, feeds, and features (together, the “Site”), operated by Grbfle (“Grbfle,” “we,” “us,” or “our”). Grbfle is an independent technology and startup news publication based in Vancouver, British Columbia, Canada.
Please read these Terms carefully. By accessing or using the Site, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated here by reference. If you do not agree to these Terms, please do not use the Site.

Subject to your compliance with these Terms, Grbfle grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Site and to view its Content for your own personal, non-commercial use.
You may share links to our articles and quote brief, attributed excerpts consistent with fair dealing and fair use. Except as expressly permitted, you may not:
- reproduce, republish, distribute, sell, license, or exploit any Content in whole or substantial part;
- systematically copy, scrape, harvest, or index the Site or its Content, including through automated means, bots, or crawlers, except by search engines operating within the limits of our robots directives;
- use any Content to train, develop, or fine-tune machine-learning or artificial-intelligence models without our prior written permission;
- frame, mirror, or otherwise present the Site or Content as your own; or
- remove or alter any copyright, trademark, or other proprietary notices.
All rights not expressly granted to you are reserved by Grbfle.
6. Acceptable Use and Prohibited Conduct
You agree to use the Site lawfully and responsibly. You must not:
- violate any applicable law, regulation, or third-party right;
- access or attempt to access areas of the Site you are not authorized to access, or interfere with the security or proper functioning of the Site;
- introduce viruses, malware, or other harmful code, or attempt to disrupt, overload, or damage the Site or its infrastructure;
- attempt to gain unauthorized access to any account, server, or network connected to the Site;
- use the Site to transmit spam, unsolicited communications, or fraudulent content;
- impersonate any person or entity or misrepresent your affiliation with anyone; or
- collect or store personal information about other users without their consent.
We reserve the right to investigate and take appropriate action against anyone who, in our sole judgment, violates this section, including restricting or terminating access and reporting conduct to law enforcement.
7. Intellectual Property
The Site and its Content are owned by Grbfle or its licensors and are protected by copyright, trademark, and other intellectual-property laws in Canada and internationally. The “Grbfle” name, logo, and all related marks are trademarks of Grbfle. Nothing in these Terms grants you any right to use them without our prior written consent.
Content that we attribute to third-party sources — such as quotations, cited reporting, figures, or embedded material — remains the property of the respective rights holders and is used for the purposes of news reporting, commentary, and criticism.
8. User Content
Some features of the Site may allow you to submit User Content, such as comments, news tips, corrections, or feedback. You are solely responsible for the User Content you submit.
Your representations. By submitting User Content, you represent and warrant that: (a) you own or have the necessary rights to submit it; (b) it does not infringe or violate the rights of any third party, including intellectual-property, privacy, or publicity rights; and (c) it is not unlawful, defamatory, harassing, hateful, obscene, deceptive, or otherwise objectionable.
License to us. By submitting User Content, you grant Grbfle a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, and sublicensable license to use, reproduce, edit, adapt, publish, and display that User Content in connection with operating and promoting the Site and our journalism, in any media. This is particularly relevant to news tips and correspondence, which may inform or be referenced in our reporting.
Moderation. We do not endorse any User Content and are not obligated to monitor it, but we reserve the right — at our sole discretion and without notice — to review, edit, refuse, remove, or restrict any User Content for any reason, including violations of these Terms.
9. No Professional Advice
Grbfle publishes journalism, analysis, and commentary about technology, startups, funding, and related topics for general informational purposes only. Our Content does not constitute, and should not be relied upon as, professional advice of any kind — including financial, investment, legal, tax, accounting, or business advice.
Nothing on the Site is an offer, solicitation, or recommendation to buy, sell, or hold any security, asset, or investment, or to make any business or financial decision. Company valuations, funding figures, market forecasts, and similar information reflect reporting available at the time of publication and may change, be revised, or prove incomplete. Before acting on any information found on the Site, you should conduct your own research and consult a qualified professional. Any decision you make based on Content is made at your own risk.
10. Accuracy and Availability
We strive for accuracy and verify our reporting against credible sources, and where a claim rests on a single source or an unconfirmed report we aim to say so. Nevertheless, journalism produced at speed may contain errors, omissions, or information that later changes. The Content is provided on an “as is” basis, and we make no guarantee that it is complete, current, or error-free. When we become aware of a material error, we correct it.
We also do not guarantee that the Site will be available, uninterrupted, secure, or free of errors or harmful components at all times. We may modify, suspend, or discontinue any part of the Site — including Content, features, or availability — at any time without notice or liability.

13. Limitation of Liability
To the fullest extent permitted by applicable law, Grbfle and its owners, employees, contributors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or relating to your access to or use of, or inability to access or use, the Site or its Content — whether based in contract, tort, negligence, strict liability, or otherwise — even if we have been advised of the possibility of such damages.
To the extent we are found liable despite the above, our total aggregate liability arising out of or relating to the Site or these Terms will not exceed one hundred Canadian dollars (CAD $100). Some jurisdictions do not allow certain limitations of liability, so some of these limitations may not apply to you.
14. Indemnification
You agree to indemnify, defend, and hold harmless Grbfle and its owners, employees, contributors, and service providers from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with: (a) your access to or use of the Site; (b) your violation of these Terms; (c) your violation of any law or the rights of any third party; or (d) any User Content you submit.
15. Privacy
Your use of the Site is also governed by our Privacy Policy, which explains how we collect, use, and protect personal information. By using the Site, you consent to the practices described in the Privacy Policy.
16. Termination
We may suspend or terminate your access to the Site at any time, without notice or liability, for any reason, including if we believe you have violated these Terms. Upon termination, the licenses granted to you under these Terms will end, while any provisions that by their nature should survive — including intellectual property, disclaimers, limitation of liability, indemnification, and governing law — will continue to apply.
17. Governing Law and Dispute Resolution
These Terms and any dispute or claim arising out of or relating to them or to the Site are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. You agree that the courts located in British Columbia, Canada, will have exclusive jurisdiction over any such dispute, and you consent to their jurisdiction, except where prohibited by applicable law in your place of residence.
Before initiating any formal dispute, we encourage you to contact us first so that we can try to resolve the matter informally.
18. General Provisions
- Severability. If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
- No waiver. Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.
- Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
- Entire agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Grbfle regarding the Site and supersede any prior agreements on that subject.
- Headings. Section headings are for convenience only and do not affect interpretation.
